1. Platform License & Scope of Use
Subject to compliance with these Terms and your Master Services Agreement (MSA), NeuroSoft grants you a non-exclusive, non-transferable, global enterprise license to access and deploy our automated decision pipelines and inference software.
2. Enterprise SLAs & Availability
NeuroSoft guarantees a minimum 99.999% Service Level Agreement (SLA) for production inference workloads deployed under Enterprise tiers. Planned maintenance windows are communicated at least 72 hours in advance and executed during off-peak windows.
Service Credits: Failure to meet uptime commitments results in automated service credit accruals applied against your next quarterly billing cycle, as defined in your Master Services Agreement.
3. Intellectual Property Rights
You retain exclusive ownership of all proprietary data, telemetry streams, custom workflows, and business policies processed by NeuroSoft. NeuroSoft retains all rights, titles, and interests in the underlying platform architecture, models, and core algorithms.
4. Customer Responsibilities
Customers agree not to reverse engineer, decompile, or attempt to extract source code from NeuroSoft's binary endpoints, nor bypass security policy enforcement barriers established within the platform.
5. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages arising out of platform usage, except for breaches of confidentiality or gross negligence.
6. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to conflicts of law principles. Any legal disputes shall be settled via binding arbitration in San Francisco, CA.
